Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "You", "User") and Net-3.co.uk Ltd ("Company", "We", "Us", "Our") governing your use of the Reflex platform and related services (the "Service").

By accessing, creating an account, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or by posting the updated Terms on our website. Continued use of the Service following notification of changes constitutes acceptance of the revised Terms.


2. Service Description

2.1 Overview

Reflex is a server management and deployment platform that enables you to:

  • Provision and manage servers
  • Deploy applications and websites
  • Monitor server performance and health
  • Manage DNS, SSL certificates, and other infrastructure
  • Automate deployments and configuration management

2.2 Service Tiers

We offer the following subscription tiers:

3. User Accounts and Responsibilities

3.1 Account Creation

You are responsible for:

  • Providing accurate, complete, and current information during registration
  • Maintaining the confidentiality of your account credentials
  • Notifying us immediately of any unauthorized access to your account
  • All activities that occur under your account, even if unauthorized

3.2 Account Requirements

You must be:

  • At least 18 years of age (or the age of majority in your jurisdiction)
  • Authorized to enter into a binding legal agreement
  • Responsible for all actions taken under your account

3.3 Account Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in illegal or harmful activity
  • You fail to pay invoices within 30 days
  • Your account has been inactive for 90 consecutive days
  • We receive legal requests requiring suspension
  • You breach our Acceptable Use Policy

4. Payment Terms

4.1 Billing

  • Billing occurs monthly on the same day you signed up, unless otherwise specified
  • You authorize us to charge your payment method for fees and charges
  • Invoices are sent to the email address on your account
  • All prices are in GBP (£) unless otherwise stated

4.2 Payment Methods

We accept payment via:

  • Stripe: Debit/credit cards
  • PayPal: PayPal account balance or linked payment methods

4.3 Failed Payments

If payment fails:

  • We will retry payment up to 3 times over 10 days
  • You will receive email notifications for each failed attempt
  • Your account may be suspended if payment is not received
  • We may charge a late fee of 5% per month on overdue amounts (subject to applicable law)

4.4 Refund Policy

30-Day Money-Back Guarantee:

  • If you are not satisfied with the Service within 30 days of your first payment, you may request a full refund
  • Refund requests must be submitted to billing@expertweb.tools
  • Refunds will be processed to your original payment method within 5-10 business days
  • After 30 days, payments are non-refundable except as required by law

4.5 Cancellation and Refunds

Cancellation:

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to the Service until the end of your billing period
  • No refunds are issued for partial months used after cancellation
  • One-time setup fees (if any) are non-refundable

  • Include your account email and reason for refund request
  • Subject to our 30-day refund policy

5. Service Level Agreement (SLA)

5.1 Uptime Commitments

We commit to the following monthly uptime percentages:

5.2 SLA Exclusions

The SLA does not cover:

  • Scheduled maintenance (with 48-hour notice)
  • Issues caused by your misconfiguration or misuse
  • Issues caused by third-party services (GitHub, Stripe, PayPal, etc.)
  • Network issues outside our infrastructure
  • Denial-of-service (DDoS) attacks or security incidents
  • Force majeure events

5.3 SLA Credits

If we fail to meet the uptime commitment, you are eligible for the following credits:

To claim an SLA credit:

  • Submit a request to support@expertweb.tools within 30 days
  • Include dates and times of downtime
  • Credits will be applied to your next invoice
  • Credits are your sole remedy for downtime

6. Acceptable Use Policy

You agree not to use the Service for:

6.1 Illegal Activities

  • Violating any local, state, national, or international law
  • Fraudulent activities, money laundering, or terrorist financing
  • Copyright infringement or intellectual property violations
  • Hacking, phishing, or other cybercrimes

6.2 Harmful Activities

  • Distributing malware, viruses, or malicious code
  • Launching DDoS attacks or unauthorized access attempts
  • Creating botnets or distributing exploits
  • Spamming, phishing, or social engineering attacks
  • Harassment, threats, or abusive behavior toward others

6.3 Cryptocurrency and Mining

  • Cryptocurrency mining or proof-of-work computations
  • Operating as an unlicensed cryptocurrency exchange
  • Promoting or facilitating illegal cryptocurrency activities

6.4 Prohibited Content

  • Child sexual abuse material (CSAM)
  • Hate speech or content promoting violence
  • Content designed to deceive or defraud
  • Harassment, stalking, or intimidation

6.5 Competitive Abuse

  • Attempting to reverse-engineer the Service
  • Scraping or bulk downloading content without permission
  • Circumventing security measures or rate limits
  • Reselling access to the Service without permission

Violation of this policy may result in immediate account suspension without refund.


7. Intellectual Property Rights

7.1 Service Intellectual Property

All content, features, and functionality of the Service, including but not limited to:

  • Software code and algorithms
  • Design, layout, and user interface
  • Documentation and guides
  • Logos, trademarks, and branding

are owned by Net-3.co.uk Ltd or our licensors and are protected by international copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain all rights to any content you create, upload, or store using the Service ("User Content"). By storing User Content on our Service, you grant us a limited license to:

  • Store and back up your User Content
  • Access your content to provide the Service
  • Monitor for security threats and illegal activity
  • Use anonymized, aggregated data for analytics and improvement

You remain solely responsible for the legality and appropriateness of your User Content.

7.3 License to Use the Service

We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not:

  • Sublicense, resell, or transfer your account to others
  • Use the Service for commercial hosting or SaaS offerings (without prior written consent)
  • Modify or create derivative works of the Service
  • Attempt to gain unauthorized access to the Service or other users' accounts

8. Limitations of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranty that the Service will be uninterrupted, error-free, or secure
  • Warranty that defects will be corrected or that the Service will meet your expectations

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES SHALL BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, business interruption, or reputational harm
  • Any damages arising from:
    • Use of or inability to use the Service
    • Unauthorized access to or alteration of your data
    • Third-party services or content
    • Delays or failures in service delivery
    • Viruses or malicious code
    • Force majeure events

Even if we have been advised of the possibility of such damages.

8.3 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

  • The total amount you paid for the Service in the 12 months preceding the claim, or
  • £5,000

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

8.4 Essential Term

You acknowledge that this limitation of liability is a material inducement for us to provide the Service at the current price, and you agree to this allocation of risk.


9. Indemnification

You agree to indemnify, defend, and hold harmless Net-3.co.uk Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or the rights of a third party
  • Your User Content
  • Claims that your use of the Service infringes third-party intellectual property rights

10. Third-Party Services

The Service integrates with third-party services including:

  • Stripe & PayPal: Payment processing
  • GitHub: Code repository integration
  • DigitalOcean: Infrastructure hosting
  • Google Analytics: Analytics and monitoring

We are not responsible for:

  • Outages or unavailability of third-party services
  • Data loss or security breaches at third-party services
  • Terms, policies, or practices of third-party services
  • Changes to third-party services that affect our Service

You are responsible for reviewing the terms and privacy policies of third-party services.


11. Data and Backup Responsibility

11.1 Backup Obligations

We maintain backup copies of your data for disaster recovery purposes. However:

  • You are solely responsible for maintaining independent backups of your data
  • We do not guarantee the recoverability of deleted or lost data
  • Data deleted from your account may not be recoverable from backups after 30 days
  • Backups are for our disaster recovery, not guaranteed customer restoration

11.2 Data Loss

We are not responsible for:

  • Data loss due to your negligence, misconfiguration, or misuse
  • Loss of data during server management or deployment operations
  • Accidental or intentional deletion of your data
  • Data loss due to third-party services you integrate

12. Confidentiality

12.1 Confidential Information

Either party may disclose confidential information to the other, including:

  • Account credentials and API keys
  • Business and technical information
  • Service performance data

12.2 Obligations

Each party agrees to:

  • Maintain confidentiality of the other's confidential information
  • Use confidential information only as necessary to perform obligations under these Terms
  • Implement reasonable security measures to protect confidential information
  • Notify the other party immediately of any unauthorized disclosure

12.3 Exceptions

Confidential information does not include information that is:

  • Publicly available through no breach of these Terms
  • Already known to the receiving party prior to disclosure
  • Independently developed without use of the other's confidential information
  • Required to be disclosed by law or court order

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

Termination takes effect at the end of your current billing period.

13.2 Termination by Us

We may terminate your account immediately if:

  • You violate any material provision of these Terms
  • You engage in illegal or harmful activity
  • Your account has been inactive for 90 days
  • You fail to pay invoices within 30 days
  • We receive legal requests requiring termination
  • We discontinue the Service (with 30 days' notice)

13.3 Effect of Termination

Upon termination:

  • Your account and data access will be deactivated
  • Your data will be retained for 30 days, then permanently deleted
  • You remain liable for any outstanding fees or charges
  • Provisions regarding liability, indemnification, and confidentiality survive termination

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for any disputes arising from these Terms or your use of the Service.

14.3 Dispute Resolution

Before pursuing legal action, we encourage you to:

  1. Contact support@expertweb.tools with details of the dispute
  2. Allow 30 days for resolution
  3. Escalate to management@expertweb.tools if unresolved

If informal resolution fails, either party may pursue legal action.


15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall remain in full force and effect.


16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, and negotiations, whether written or oral.
